TowMate Assist – Terms of Service (v2.0)

This Terms of Service Agreement ("Agreement") governs your access to and use of the TowMate Assist platform and related services (collectively, the "Service") provided by TowMate, Inc., a Delaware corporation ("TowMate," "we," "us," or "our").

By creating an account, scanning a QR code, subscribing, or otherwise using the Service, you agree to be bound by this Agreement and our Privacy Policy.


1. Eligibility & Acceptance

You must be at least 18 years old and capable of forming a binding contract. Use of the Service constitutes acceptance of all terms herein. If you do not agree, you must discontinue use immediately.


2. Account Registration

To access certain features, you must create an account. You agree to:

TowMate reserves the right to refuse, suspend, or terminate accounts for any reason, including suspected fraud, non-payment, or misuse.


3. Service Overview

TowMate Assist allows registered vehicle owners to:

TowMate is not a towing company and does not assume custody or responsibility for vehicles. Data is aggregated from participating operators, municipalities, and third-party sources, which may be incomplete or delayed.


4. Subscriptions & Billing

Plans. TowMate offers multiple subscription tiers (e.g., Basic, Premium, Fleet). Pricing and features are listed at https://towmate.ai/assist/plans and may change with notice.

Payments. All payments are processed via secure third-party processors. You authorize recurring charges until cancellation.

Cancellation. You may cancel any time in your account settings; access remains active until the end of the paid term. No prorated refunds are provided.

Modifications. TowMate may adjust fees or plan benefits upon notice. Continued use after changes constitutes acceptance.

6. Driver Fund Program

Participation is optional. Rewards are contingent upon verified subscriber conversions. TowMate reserves the right to:

Participation constitutes consent for TowMate to display anonymized performance data for marketing or leaderboard purposes. See DriverFund Program for details.

Tax Reporting & Identification

If your total DriverFund earnings in any calendar year reach or are expected to reach the applicable tax reporting threshold (currently US$600 in the United States), TowMate may be required to collect tax identification information from you (such as a Social Security Number or Employer Identification Number) in order to issue any required tax forms. You agree to provide accurate tax information upon request. TowMate may suspend or withhold further DriverFund payouts if the requested information is not provided or cannot be verified.


7. Data & Privacy

TowMate collects and processes data as outlined in the TowMate Privacy Policy. By using the Service, you grant TowMate a worldwide, perpetual, royalty-free license to store, analyze, and use anonymized or aggregated data for system improvement, analytics, and lawful marketing.


8. Intellectual Property

All content, software, trademarks, and materials forming the Service are owned by TowMate Inc. or its licensors. No ownership or implied license is transferred. You may use the Service only as expressly permitted in this Agreement.


9. Third-Party Links & Services

TowMate integrates with third-party operators, payment processors, and governmental data sources. TowMate is not responsible for their content, accuracy, or conduct. Your dealings with such parties are solely between you and them.


10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TOWMATE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TowMate does not guarantee that:


11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOWMATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES.

TOWMATE'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.


12. Indemnification

You agree to indemnify and hold harmless TowMate, its affiliates, officers, and employees from any claims or losses arising out of (a) your use of the Service, (b) your breach of this Agreement, or (c) your violation of any law or third-party right.


13. Term & Termination

TowMate may suspend or terminate access at any time, with or without notice, for any reason including breach or system abuse. Upon termination, your right to access the Service ceases immediately. Sections 7–13 survive termination.


14. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of Delaware, without regard to conflicts principles. Any dispute shall be resolved by binding arbitration under the rules of the American Arbitration Association in New Castle County, Delaware. You waive participation in any class action or class arbitration.


15. Modifications to Agreement

TowMate may update or modify this Agreement at any time by posting a revised version at https://towmate.ai/legal/assist-terms. Continued use of the Service constitutes acceptance of the revised Agreement. Prior versions will be archived for reference.


16. Miscellaneous

Entire Agreement. This document and the Privacy Policy represent the full agreement between you and TowMate.

Severability. If any provision is invalid, remaining provisions remain enforceable.

Waiver. Failure to enforce any term does not constitute a waiver.

Assignment. TowMate may assign its rights or obligations without notice; users may not.
